1. Account registration

Welcome to Odobase. These Terms of Service (“Terms”) govern your use of the Odobase website and software-as-a-service platform (the “Service”), provided by EqualPixels. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to them, you may not use the Service.

To use the Service you must register for an account. You agree to provide accurate, current and complete information during registration and to keep it up to date. You are responsible for keeping your account credentials confidential and for all activity that takes place under your account.

You are responsible for the people you invite into your account and for the data you and they enter into it, including any personal data belonging to your drivers and customers.

2. Subscription and billing

2.1 Pricing plans

Odobase is sold on a subscription basis. The plans available to you, the features each one includes, and their prices are published at odobase.com/pricing, and are shown again on the checkout page before you confirm any payment. The plan and billing period you select at checkout, together with the price displayed there, form part of these Terms.

We may change our prices. If a change affects your subscription, we will give you reasonable notice before it applies to you, and it will never apply to a billing period you have already paid for.

2.2 Free trial

We offer a 14-day free trial on paid plans to new customers: the first time your account subscribes, the subscription starts with the trial. If your account has held a paid subscription before, a new subscription is charged from its first day. You will not be charged during the trial. At the end of it, the payment method you provided will be charged for the plan you selected unless you cancel before the trial expires.

2.3 Payments via Polar

Our order process is conducted by our online reseller, Polar (Polar Software, Inc.), which is the Merchant of Record for all our orders. Polar handles payment processing, sales tax and VAT, receipts, billing enquiries and refunds. By subscribing you also agree to Polar’s Buyer Terms and Conditions, at https://polar.sh/legal/checkout-buyer-terms.

2.4 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period, and you keep access to the Service until then. Refunds are governed by our Refund Policy.

3. Acceptable use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You specifically agree not to:

• Use the Service to store or transmit infringing, defamatory or otherwise unlawful material
• Attempt to gain unauthorised access to the Service or to any system or network connected to it
• Use the Service to send unsolicited bulk communications
• Interfere with or disrupt the integrity or performance of the Service
• Resell, sublicense or otherwise make the Service available to a third party except as permitted by your plan

4. Intellectual property

The Service and its original content, features and functionality are and remain the exclusive property of EqualPixels and its licensors. The Odobase name and logo are trademarks of EqualPixels.

The operational data you enter into the Service remains yours. Nothing in these Terms transfers ownership of it to us, and you may export it at any time while your account is active.

5. Termination

We may suspend or terminate your account immediately, without prior notice, if you breach these Terms — in particular the acceptable use section above.

You may terminate your account at any time by cancelling your subscription. On termination your right to use the Service ends, and we will handle your data as described in our Privacy Policy.

6. Limitation of liability

The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, EqualPixels and its directors, employees, partners, agents and suppliers shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data, use or goodwill, arising out of your access to or use of, or inability to use, the Service.

Nothing in these Terms limits any liability that cannot be limited under the law that applies to you.

7. Governing law

These Terms are governed by and construed in accordance with the laws of Pakistan, without regard to its conflict of law provisions.
